| Magnetic Control System (Shanghai) Co., Ltd. (hereinafter referred to as “Magnetic Shanghai Company”) was established on May 15, 1997 and was a wholly-owned subsidiary of Magnetic Germany. The business scope of Magnetic Shanghai Company was the production and sales of automatic arms, parts and supporting control parts. MA(HK) Auto Control Technology & Service Co., Limited(hereinafter referred to as “MA Hong Kong Company”) was incorporated in the Hong Kong Special Administrative Region on September 18, 2014 in accordance with the Companies Ordinance, Chapter 622 of the Laws of Hong Kong, as a limited company with its only shareholder being Zhu Jiawen. Li took advantage of his position as sales manager and declared the MA Hong Kong Company was affiliated to Magnetic Shanghai Company, which finally contributed to the Door Module Procurement Contract for AFC System Equipment Procurement Project of Shenzhen Metro Lines 9 and 11 (hereinafter referred to as the “Disputed Contract”) between Dashi Company and MA Hong Kong Company. After resigning from Magnetic Shanghai Company, Li Jianbin, Zhang Jiarong and Shi Huiling worked for Maotuo Auto Control (Shanghai) System Co., Limited. (“Maotuo System Shanghai Company”), which helped the MA Hong Kong Company to perform the contract. Magnetic Shanghai Company claimed that the performance data, price, sales profit, payment terms, settlement method and other non-public information in the Disputed Contract were trade secrets of Magnetic Shanghai Company, but Li Jianbian illegally disclosed these trades secrets to Zhu Jiawen and MA Hong Kong Company and allowed their use, which committed the act of infringing the trade secrets involved in this case. Magnetic Shanghai Company sued for damages caused and the burden of court costs against Li Jiabin, Zhang Jiarong, Shi Huiling, MA Hong Kong Company, Maotuo Maotuo System Shanghai Company, Pan Shirong and Zhu Jiawen. It also claimed that the Zhu Jiawen, the only shareholder of MA Hong Kong Company, should bear several and joint liabilities if Zhu was found not involved with the infringement. | | 馬格內梯克控制系統(上海)有限公司（以下簡稱馬格內梯克上海公司）成立于1997年5月15日，系馬格內梯克德國公司全資子公司，經營范圍為生產銷售擋車自動臂及零部件和配套控制件等。埃姆埃(香港)自動化控制技術與服務有限公司（以下簡稱埃姆埃香港公司）于2014年9月18日依據香港法例第622章《公司條例》在香港特別行政區成立為法團，唯一股東為李建斌前妻朱家文。李建斌利用擔任馬格內梯克上海公司銷售經理的便利向案外人深圳達實智能股份有限公司（以下簡稱達實公司）稱埃姆埃香港公司是馬格內梯克上海公司的關聯公司，最終達實公司與埃姆埃香港公司簽訂《深圳地鐵9、11號線AFC系統設備采購項目扇門模塊采購合同》。李建斌、張佳榕、施慧玲從馬格內梯克上海公司處辭職后到懋拓自動化控制系統（上海）有限公司（以下簡稱懋拓公司）工作，懋拓公司協助埃姆埃香港公司履約。馬格內梯克上海公司主張涉案合同產品性能數據、價格、銷售利潤、付款條件、結算方式等不公開信息均屬于馬格內梯克上海公司的商業秘密，李建斌等違法將商業秘密泄露給朱家文及埃姆埃香港公司并允許其使用，實施了侵害涉案商業秘密的行為，遂起訴要求李建斌、張佳榕、施慧玲、埃姆埃香港公司、懋拓公司、潘仕榮、朱家文等停止侵權并承擔賠償責任。其中對埃姆埃香港公司股東朱家文還主張若不構成共同侵權，則基于一人有限公司應對埃姆埃香港公司的賠償責任承擔連帶責任。 |
